Noble Software Limited

Effective Date: 21 July 2026

This Refund Policy applies to all purchases of Noble software products through our platform, including NobleAIM, Noble Trainer, and Noble Remote (collectively, the “Products”).

1. Digital Goods

All Products are digital goods delivered electronically. Due to the nature of digital products, refunds are handled in accordance with this policy and applicable law.

In this policy, ‘Lifetime Licence’, ‘Fixed-Term Pass’, ‘Service Lifetime’, ‘Subscription’ and ‘Good Standing’ have the meanings given in our Terms of Service. A ‘valid NobleAIM licence’ means a Subscription in Good Standing, an unexpired Fixed-Term Pass, or a Lifetime Licence in Good Standing.

2. Cancellation Right (UK Consumer Contracts Regulations 2013)

If you are a UK consumer, you have a statutory right to cancel your purchase within 14 days without giving a reason. Our Products are digital content that we supply immediately once your purchase completes. Where, before supply begins, you have asked for immediate supply and acknowledged that you will lose your right to cancel once supply has begun, you lose that right at the point supply begins. Where that consent and acknowledgement were not obtained from you before supply began, your statutory 14-day cancellation right is unaffected and you may cancel for a full refund. Your rights if a Product is faulty (Section 3.5) always apply in full.

3. Refund Eligibility

3.1 Refunds are available in the following circumstances:

Termination without cause: you are entitled to a refund calculated as follows: (i) for a subscription, a pro-rata refund of prepaid subscription fees for the unused portion of the current billing period; (ii) for a Fixed-Term Pass, a pro-rata refund of the one-time fee for the unused portion of the Pass’s own stated duration; and (iii) for a Lifetime Licence or any other perpetual one-time purchase, a partial refund of the one-time fee calculated on a straight-line basis over 36 months from the date of purchase (fee multiplied by (36 minus the number of complete months since purchase), divided by 36, with a minimum of zero). Noble does not terminate a Lifetime Licence without cause while the relevant Product remains commercially available (Section 12.3 of the Terms of Service).

Discontinuation (end of Service Lifetime): your remedy is the advance notice set out in Section 2.9 of the Terms of Service. No refund is payable when a Product, module or its required online services reach the end of their Service Lifetime, and no apportioned or partial refund arises on discontinuation. Two integrity exceptions apply and are not discontinuation refunds: (1) if actual notice is shorter than six months for any reason other than a legal requirement of the kind described in Section 2.9(a) of the Terms of Service, the straight-line amount in paragraph (b)(iii) above is paid as compensation for the shortfall; and (2) any purchase of an affected Lifetime tier made on or after the date a discontinuation is announced is refunded in full. This reflects the point-of-sale disclosure and does not limit your statutory rights for faulty digital content under Section 3.5.

Model or paid-entitlement retirement: where a paid Model or other paid one-time entitlement is retired while its parent Product remains commercially available, no refund is due if Noble provides a replacement of at least equivalent function within a reasonable time; if it does not, and the entitlement was retired within 36 months of its purchase, the straight-line refund in Section 6 of the EULA applies to the fee paid for that entitlement. The permanent discontinuation of a Product or module at the end of its Service Lifetime is not a retirement and carries no refund (see the boundary rule in Section 6 of the EULA).

Refunds under this subsection (other than on end-of-Service-Lifetime discontinuation, for which no refund is due except the two integrity exceptions above) are paid in full without any fee or deduction, by the means in Section 7. Where a bundle sold at a single combined price is only partly affected, the price is apportioned as set out in Section 2.14 of the Terms of Service, which does not itself create any apportioned discontinuation refund.

3.2 Subject to Section 3.5 (faulty Products) and to your statutory rights, which always prevail over this Section, refunds will NOT be provided in the following circumstances:

3.3 Processing fee on discretionary refunds

Where Noble grants a purely discretionary goodwill refund under Section 3.1(c), Noble may deduct a processing fee limited to the payment-processing costs Noble actually incurs and cannot recover on the transaction, and Noble will state the exact deduction, in pounds, before you accept the refund. No fee or deduction of any kind applies to: refunds for faulty Products under Section 3.5; refunds under Section 3.1(b); cancellation refunds under Section 2; or any other refund required by law.

3.4 Add-on entitlements (paid AI model add-ons and Premium Support)

Add-on entitlements are one-time digital purchases. Upon successful payment, the entitlement is granted to your existing NobleAIM licence immediately, making the relevant digital content or service available to you. Where, before the entitlement is granted, you have asked for immediate supply and acknowledged that you will lose your right to cancel once supply begins, change-of-mind refunds are not available once supply has begun, save where Noble grants a discretionary refund under Section 3.1(c) (subject to the processing fee in Section 3.3); where that consent and acknowledgement were not obtained before supply began, your statutory 14-day cancellation right is unaffected. Sections 3.1(b) and 3.5 continue to apply to add-on entitlements. Add-on entitlements do not auto-renew and require a valid NobleAIM licence (a subscription in Good Standing, an unexpired Fixed-Term Pass, or a Lifetime Licence). If your underlying subscription ends or lapses, or your Fixed-Term Pass expires, your add-on entitlements are not forfeited: they are available again once you again hold a valid NobleAIM licence, and if they are not restored automatically, support will restore them on verification of your purchase, with no refund due for the period without access. Where your underlying licence is a Lifetime Licence, add-on entitlements continue for as long as it remains in Good Standing.

3.5 Faulty Products (statutory remedies)

If a Product is faulty, meaning it does not conform to the contract under the Consumer Rights Act 2015 (including failing to match its description or the pre-contract information given at the point of sale, or failing to be of satisfactory quality or fit for purpose):

These rights cannot be excluded and prevail over anything else in this policy.

4. Subscription Cancellation

4.1 You may cancel your subscription at any time through your account.

4.2 Cancellation takes effect at the end of your current billing period. You will retain access until the end of the period you have already paid for.

4.3 No partial refunds are provided for unused time within a billing period when you choose to cancel, except where required by law. If Noble terminates your access without cause, Section 3.1(b) applies and you will be entitled to a pro-rata refund for the unused portion.

4.4 One-time purchases. A Lifetime Licence and a Fixed-Term Pass are not subscriptions: there is nothing to cancel and no further payment is ever taken for them. Sections 4.1 to 4.3 do not apply to them. The refund rules applicable to a Lifetime Licence or a Fixed-Term Pass are: Section 2 (14-day cancellation, unless you consented to immediate supply); Section 3.1(b) (termination without cause, and model or paid-entitlement retirement, with the Fixed-Term Pass refund pro-rated over the Pass’s own duration; no refund is due on end-of-Service-Lifetime discontinuation save the two integrity exceptions in Section 3.1(b)); Section 3.5 (faulty Products); and Section 3.1(c) (goodwill). A Fixed-Term Pass otherwise simply expires at its stated end, and no refund is due for that expiry.

5. How to Request a Refund

To request a refund, contact us directly at noblesupp@outlook.com, giving your licence key or order details and the reason for your request. This is the primary route, and it lets us apply the correct remedy, including your statutory rights for a faulty Product under Section 3.5 and the without-cause and retirement remedies under Section 3.1(b). If you hold a subscription, you can also manage your plan and request cancellation through your Stripe account where that self-service option is available. Contacting us first is almost always faster than a card dispute; nothing in this Section limits your right to raise a chargeback or a claim under Section 6.

6. Disputes and chargebacks

If you believe a charge is unauthorised or you wish to request a refund, we ask you to contact noblesupp@outlook.com first, because we can usually resolve it within two business days, which is faster than a card dispute. You do not have to contact us first, and nothing in this policy limits your right to raise a chargeback with your bank or card issuer, to bring a claim against a credit card issuer under section 75 of the Consumer Credit Act 1974, or your statutory rights. A reimbursement you obtain by exercising a statutory right, including a successful section 75 claim, is not treated as a chargeback against you and does not, of itself, lead us to restrict your account.

If a chargeback is raised or a payment is otherwise reversed, the licence or entitlement that the payment purchased ends automatically, is not suspended and does not revive, and its reinstatement requires a fresh purchase, because a product that has not, in the end, been paid for does not continue (Sections 2.5, 2.7 and 2.13 of the Terms of Service and Section 5.5 of the EULA). Our products, modules, Models and related services are provided as one connected service (the “Noble Service”), accessed through a single account and licence identity (Terms of Service Section 3.6). A reversal also lets us suspend your access to the rest of the Noble Service, including other products and entitlements you access through the same account, the same device (by its hardware identifier) or your linked Discord identity, until the matter is resolved. This reflects that access is provided as one connected service and that a product which has not, in the end, been paid for does not continue; it is not a penalty for raising a dispute. We will restore access to the products and entitlements suspended under this paragraph once the reversed payment is repaid or otherwise made good, or where your claim is well-founded; a further purchase does not by itself restore that access, and restoring it does not revive a licence or entitlement that has already ended.

We do not treat a well-founded dispute as a reason to refuse you future business. If a restriction has been applied and your dispute reflected a valid claim (for example faulty digital content, or a refund we should have given), contact us and we will honour the claim, remove any restrictions we have applied and restore your access, including lifting the device block and un-banning your Discord account. If a chargeback is raised, we may submit purchase, licence and product-use records in response, as card-scheme rules permit.

7. Processing

Refunds are paid to your original payment method where the payment provider still permits it. Where the original payment method is no longer available, or the provider no longer permits a refund to it (for example because the refund falls due long after the original payment, as can happen with the without-cause termination and model-retirement remedies in Section 3.1(b)), Noble will pay you by bank transfer or an equivalent means, and may ask you for the details reasonably needed to do so. Processing times depend on the method used and on your payment provider. Faulty-product refunds under Section 3.5 are paid without undue delay and in any event within 14 days of Noble agreeing that a refund is due.

8. Statutory Rights

Nothing in this policy affects your statutory rights as a consumer under applicable law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
